3. Subscriptions and Billing

The Service is billed on a subscription basis. You will be billed in advance on a recurring and periodic basis (monthly or yearly), depending on the plan and billing cycle you select.

3.1 The customer

The customer under these Terms is the school, network, or other organization that subscribes to Hikma, not students, parents, or guardians. These Terms govern that organization’s Hikma subscription. They do not govern school tuition, student fees, or family payments recorded inside the Service. Those school-fee charges and any related refunds are controlled by the organization, not by these Terms.

3.2 Trial

A free trial is not a paid subscription. During a trial we provide access so you can evaluate the Service. Choosing a paid plan and completing payment starts the paid subscription when payment succeeds. Trial access is not treated as your current paid plan for upgrades, downgrades, or pricing.

3.3 Plans and limits

Paid plans may include usage limits (including enrollment limits), a monthly or yearly billing cycle, and prices in the currency shown at checkout or on your invoice. You must select a plan whose limits cover your organization’s actual usage. We may refuse or block a downgrade to a plan whose limits are below your active usage (for example, active enrollments).

3.4 Plan changes

Unless a signed enterprise order says otherwise: an upgrade to a higher-priced plan, or a change from monthly to yearly billing, takes effect immediately and you are charged the prorated difference for the remainder of the current period (unused time on a monthly plan may be credited toward a yearly purchase). A downgrade to a lower-priced plan, or a change from yearly to monthly billing, takes effect at the next renewal. You keep the current plan, price, and limits until the end of the current period. There is no refund or credit for unused time when you downgrade or switch to a cheaper billing cycle.

3.5 Cancellation

You may cancel a paid subscription through the billing settings in the Service (or as otherwise provided). Cancellation takes effect at the end of the current billing period. You keep access until that date. Prepaid fees for the unused remainder of the period are not refunded.

3.6 Auto-renewal

Paid subscriptions renew automatically at the end of each billing period unless you cancel before renewal. The then-current plan and cycle are charged in advance for the next period.

3.7 Failed payment and billing review

If a payment fails, the subscription may become past due. We may limit, suspend, or terminate access until payment succeeds. If a charge is reversed, refunded by the payment processor, or disputed (including a chargeback), we may place the account in billing review and restrict writes or other use until the matter is resolved.

3.8 Taxes

Prices are exclusive of applicable taxes unless we state otherwise. Taxes, duties, or similar charges may be added at checkout or on the invoice. You are responsible for amounts due under applicable law, other than taxes based on our net income.

3.9 Price changes

We may change subscription prices. We will give at least thirty (30) days’ notice before a price change applies to your next renewal. If you do not cancel before that renewal, continued use constitutes acceptance of the new price for the following period. Price changes do not retroactively alter amounts already paid for the current period.

3.10 Enterprise

Enterprise or custom plans may be sold under a separate quote or order. Those commercial terms (price, term, and limits) control if they conflict with the self-serve prices on the Site. These Terms still apply unless the signed order expressly overrides a provision.
